Changing the Registered Office Address

 Scenarios for Changing Registered Office

  1. Within the Same City, Town, or Village (Same Jurisdiction):

    • Board Resolution: Pass a board resolution approving the change.

    • Form Filing: File Form INC-22 with the Ministry of Corporate Affairs (MCA) within 30 days of the resolution.

    • Documents Required:

      • Proof of new office address (e.g., lease agreement, utility bill).

      • Photograph of the new office showing a director or key managerial personnel.

      • No Objection Certificate (NOC) from the property owner, if applicable.

  2. Outside the Local Limits but Within the Same State and ROC Jurisdiction:

    • Board Resolution: Pass a board resolution approving the change.

    • Special Resolution: Pass a special resolution and file Form MGT-14 with the ROC within 30 days.

    • Form Filing: File Form INC-22 within 30 days of passing the special resolution.

    • Documents Required: Same as above.

  3. Within the Same State but Different ROC Jurisdiction:

    • Board & Special Resolutions: Pass both resolutions and file Form MGT-14.

    • Regional Director Approval: Apply for approval using Form INC-23.

    • Form Filing: Upon approval, file Form INC-28 within 30 days.

    • Final Filing: File Form INC-22 within 30 days of receiving the approval.

  4. From One State to Another:

    • Alteration of MOA: Pass a special resolution to alter the Memorandum of Association.

    • Form Filing: File Form MGT-14 within 30 days.

    • Regional Director Approval: Apply using Form INC-23.

    • Form Filing: Upon approval, file Form INC-28 within 30 days.

    • Final Filing: File Form INC-22 within 30 days of receiving the approval.

    • Conveyance deed (if owned).

    • Lease/rent agreement and recent rent receipt (if leased).

    • No Objection Certificate (NOC) from the property owner.

  • Photograph: Recent photograph of the office premises showing a director or key managerial personnel.


Time Limits for Filing

  • Form INC-22: To be filed within 30 days from the date of the board or special resolution, as applicable.

  • Form MGT-14: To be filed within 30 days of passing the special resolution.
